# Terms of Service — Covision

These Terms govern your use of Covision. By using the service, you agree to them.

## Acceptance

By accessing or using Covision, you agree to these Terms. If accepting for an organization, you represent authority to bind that organization.

## Eligibility

Must be at least 18 years old and capable of entering a binding contract.

## Account Security

Keep credentials confidential. You are responsible for all account activity. Notify info@covisionconsultants.com of unauthorized use. Multi-factor authentication may be required.

## Subscriptions and Fees

- Services, scope, fees, billing cadence, and payment terms are defined in the accepted order form, proposal, or statement of work.
- If these Terms conflict with a signed commercial agreement, the signed agreement controls for that engagement.
- All fees exclusive of taxes. Failed payments may result in suspension.

## Acceptable Use

Do not violate any law, attempt unauthorized access, upload infringing/defamatory/malware content, resell or reverse-engineer, or send spam.

## Your Content

You retain all rights to uploaded content ("Customer Content"). You grant Covision a limited license to host, process, and display it. Covision does not use Customer Content to train AI models.

## AI Features

Covision uses AI to draft messages, summarize meetings, and surface recommendations. AI output is assistive — you are responsible for review and approval. Not liable for decisions made solely on AI output.

## Intellectual Property

Covision retains all IP rights in the Service. You receive a limited, non-exclusive license per these Terms.

## Termination

Cancellation and renewal follow the accepted commercial agreement. We may suspend or terminate for breach, non-payment, or legal requirement. Data retained 30 days for retrieval, then deleted.

## Disclaimers

Service provided "as is" without warranties.

## Limitation of Liability

Total liability in any 12-month period equals the amount you paid us. Not liable for indirect, incidental, consequential, or punitive damages.

## Governing Law

Governed by Michigan law. Exclusive venue: Wayne County, Michigan.
